Plot

A medical student named Sunita is looking into the anterograde amnesia case of Sanjay Singhania, the head of the telecommunications business Air Voice. She does so despite Sanjay being the subject of a criminal inquiry, going against the advice of her professor Dr. Debkumar Mitra. Sanjay, who experiences memory loss every 15 minutes, employs a system of pictures, notes, and tattoos to help him recall his objective to get revenge on Ghajini Dharmatma, the crime lord who killed his fiancée Kalpana Shetty.

Sanjay is knocked unconscious in a fight at his flat by police officer Arjun Yadav, who is looking into a murder Sanjay committed. Arjun finds two journals in Sanjay's drawer. He finds out that Kalpana, a failing model, and Sanjay, a successful entrepreneur, became friends after Sanjay decided to build an advertisement billboard over her flat. Kalpana's employer, advertising veteran Satveer Kohli, misinterprets his agents' arrival at Kalpana's filming location as a love overture and urges Kalpana to accept the overture in the hopes of fame and money. Also deciding to pretend to be Sanjay's lover is Kalpana. Sanjay makes preparations to contact Kalpana as soon as he learns of the untrue rumour and confront her, but he is unsuccessful since he grows to admire her after observing her altruistic side. He tells Kalpana falsehoods about himself while pretending to be a new model named Sachin Chauhan. He soon develops a deeper affection for her. Sanjay, who is still playing Sachin at the end of the first journal, asks Kalpana to marry him on December 31, but she declines, asking for time to consider it. If she agrees, he decides, he will reveal his actual identity to her; however, if not, he will gently leave her life as Sachin.

Sanjay tackles Arjun and binds him up as he begins reading the second journal. Finding the flat, Arjun is restrained there, and Sunita discovers Sanjay's murderous scheme while he is gone. She takes his journals and sets Arjun free. Sanjay shows up unexpectedly. Arjun gets struck by a bus as she and he flee. Then Sunita tells Ghajini that Sanjay is going to murder him and is coming to see him. When Sanjay learns of this, he rushes to assault her in her dorm room but is stopped and given a tranquiliser. The police alert Ghajini about Sanjay's possessions, and Ghajini assumes the identity of Sanjay's buddy. As soon as Sanjay's staff and doctor show up, they take him home. He loses all recollection of the past when Ghajini and his goons conceal his tattoos and destroy his images.

Sunita examines the diaries after Sanjay is taken into custody. She discovers Kalpana's existence. Due to a prior obligation, Kalpana accepts the proposal in the second journal, but only after making three ambassador vehicle purchases. Sanjay makes the decision to tell her the truth about himself later as a result of a series of events. When Sanjay must travel abroad for a few days, the journal comes to an abrupt stop. Sunita later discovers via her study that Kalpana visited Goa, where she came across and liberated a group of females from a sex trafficking ring run by Ghajini. When Ghajini learns that two of the girls have vanished, she confronts Kalpana back in Mumbai before turning and leaving in disgust. Later that evening, a police officer phones Kalpana to alert her that Ghajini has made plans to murder her and that his goons are hidden inside her home. Sanjay comes to her home when she calls him and discovers Kalpana stabbed. Kalpana is unable to rescue herself. Prior to using the same iron rod to kill Kalpana in front of him, Ghajini struck Sanjay in the head with it, causing brain damage. Sunita recalls Sanjay about Kalpana's murder and assists him in locating Ghajini after she feels bad for having doubted him. After killing his men, Sanjay searches for Ghajini but experiences a memory loss episode. Ghajini takes advantage of this and uses a rod to stab Sanjay. In the nick of time, Sanjay rips the iron rod out and tosses it at Ghajini's face as he prepares to murder Sunita the same way he killed Kalpana. He then kills Ghajini with the iron rod, just as he did to Kalpana.

After six months, Sanjay reappears in the role of chairman of Air Voice and volunteers at an orphanage that bears Kalpana's name. He does this to assist others and to attempt to recover. The film pan's out towards a fading dusk as Sunita gives him the cement pad with Sanjay and Kalpana's footprints. He senses Kalpana alongside him.
